These Warmly Promotions Terms and Conditions ("Promo Terms") govern promotional programs that Warmly may offer from time to time, including without limitation referral programs, customer reference programs, gifts or gift card giveaways, and discounts or other incentives tied to specified activities such as event participation (each, a "Promotion," and collectively, "Promotions").
These Promo Terms may be supplemented, modified, or superseded by additional terms communicated in connection with a specific Promotion. In the event of any conflict or inconsistency, the terms applicable to the specific Promotion will control to the extent of such conflict.
By participating in any Promotion, you agree to these Promo Terms, the Warmly Terms of Service and the Warmly Privacy Notice.
If you participate in a Promotion on behalf of an entity or other organization, references to "you" refer to that entity or organization, and you represent and warrant that you have the authority to bind such entity or organization to these Promo Terms.
Warmly may modify these Promo Terms at any time without prior notice. Continued participation in any Promotion or use of any vouchers, credits, discounts, or other promotional offers (collectively, "Offers") following such changes constitutes acceptance of the revised Promo Terms.
1. General Rules and Limitations
- Each Promotion is a limited-time offer and may be subject to availability.
- You represent to Warmly that you are of the legal age of majority in your jurisdiction of residence at the time you participate in a Promotion, which is typically at least 18 years old, or higher if required by applicable law.
- Promotions have no cash value and are not redeemable for cash or cash equivalents.
- Promotions may not be applied to prior purchases or subscriptions and may not be combined with other offers.
- Promotions are non-transferable and may not be resold, auctioned, bartered, leased, or exchanged.
- Unless otherwise stated, each Promotion is limited to one per person.
- Participation in any Promotion is subject to a qualification review by Warmly, and to qualify you must be directly responsible for evaluating or making business decisions regarding your company's use or purchase of Warmly products or services.
- If you qualify for a Promotion, Warmly will contact you using the email address you provide.
- Any violation of these Promo Terms or any additional terms applicable to a Promotion will render the Promotion void.
- Promotions are void where prohibited by applicable law.
- You are solely responsible for any taxes, duties, or fees associated with receiving or using any item or service provided in connection with a Promotion.
- Warmly reserves the right, in its sole discretion, to modify, suspend, or cancel any Promotion or its applicable terms at any time and without notice, including due to technical issues, unforeseen circumstances, or suspected fraud, abuse, or bad faith, and Warmly will not be liable for any financial loss arising from the cancellation, withdrawal, or inability to use a Promotion.
- Promotions apply only to Warmly products and services that are available and supported in the country where the eligible entity is domiciled, and Warmly reserves the right to determine product and service availability on a country-by-country basis.
- Warmly is not responsible for currency conversion differences or changes in the value of promotional credits based on currency or redemption method.
- Warmly is not responsible for technical issues or technical or human errors that may affect the operation or outcome of any Promotion.
- Employees, contractors, agents of Warmly or its affiliates, and their immediate family members are not eligible to participate in Promotions.
- Employees of government entities, government-controlled entities, or government-owned entities are not eligible to participate in Promotions.
- If any provision of these Promo Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
